TrueLinks Inc – Terms of Service
These Terms govern your access to and use of the TrueLinks™ software and services (“Service”). By creating an account, clicking “Subscribe,” or using the Service, you agree to these Terms.
1) Who we are
TrueLinks Inc (“TrueLinks,” “we,” “our,” “us”) is a Delaware corporation with a principal mailing address at 13813 Tayberry Way, Herndon, VA 20171, USA. Contact: connect@truelinks.app.
2) Eligibility; account
- You must be at least 18 and authorized to bind your organization.
- You are responsible for your account credentials and for all activity under your account.
3) Definitions
Customer means the organization or person that subscribes to the Service. Authorized Users are individuals Customer permits to use the Service. Customer Data means data submitted to or generated within the Service by Customer or its Authorized Users.
4) Subscription, plans, & payment
- The Service is offered on a subscription basis described at checkout and/or your order form.
- Fees are billed in advance in the selected interval (e.g., monthly) unless otherwise stated. Payments are processed by Stripe. You authorize TrueLinks to automatically charge your payment method for recurring fees and any applicable taxes.
- Auto‑renewal. Subscriptions renew automatically at the end of each term unless you cancel before the renewal date in your billing portal. By subscribing, you authorize recurring charges until you cancel.
- Trial/discounts. If a free trial or promo applies, the paid plan starts automatically when it ends unless you cancel beforehand.
- Taxes. Fees are exclusive of taxes. Where applicable, required taxes will be calculated and added at checkout.
- Prices may change on renewal; we’ll notify you in advance by email or in‑product notice.
- Fees are non‑refundable except where required by law or expressly stated in these Terms.
5) Term; cancellation; suspension
- Your subscription starts when you first subscribe and continues for the initial term shown at checkout. It automatically renews for successive terms unless you cancel from your billing portal before the renewal date.
- We may suspend or terminate access for (a) non‑payment; (b) breach of these Terms; (c) risks to the security, integrity, or availability of the Service; or (d) to comply with law.
- Data export. During your subscription, you can export available Customer Data using in‑product tools or by contacting support. After termination, we retain Customer Data for a commercially reasonable period solely to facilitate export, then delete or anonymize it subject to legal holds.
6) Acceptable use
You and your users will not: (a) reverse engineer or circumvent protections; (b) use the Service to infringe, abuse, harass, or violate any law; (c) upload malicious code; (d) resell or provide the Service to third parties except as allowed in writing; or (e) overload or interfere with the Service.
7) Intellectual property; license
TrueLinks and its licensors own the Service and all related IP. Subject to these Terms and timely payment, we grant Customer a limited, non‑exclusive, non‑transferable, revocable license for Authorized Users to access and use the Service for Customer’s internal business purposes during the subscription term.
8) Customer Data
- Customer retains all right, title, and interest in Customer Data.
- Customer grants TrueLinks a worldwide, limited license to host, process, transmit, display, and back up Customer Data to provide and improve the Service and to prevent or address service, security, or support issues.
- Customer is responsible for the accuracy of Customer Data and for securing all necessary rights/permissions.
9) Confidentiality
Each party may access the other’s confidential information and will use it only to perform under these Terms, protect it with reasonable care, and not disclose it to third parties except to service providers bound by confidentiality obligations or as required by law.
10) Third‑party services
The Service may interoperate with third‑party products (e.g., Stripe). Your use of third‑party services is governed by their terms. We are not responsible for third‑party services.
11) Warranties & disclaimers
We provide the Service using commercially reasonable skill and care. EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
12) Data export & deletion
During your subscription, you can export certain Customer Data using available features or by contacting support. After termination, we may delete or anonymize Customer Data following our retention practices in the Privacy Policy.
13) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS OR FOR YOUR BREACH OF SECTION 6 (ACCEPTABLE USE), EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNT PAID OR PAYABLE BY CUSTOMER TO TRUELINKS FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14) Indemnity
You will defend and indemnify TrueLinks from claims arising out of (a) your unlawful use of the Service; (b) Customer Data; or (c) your breach of these Terms.
15) Changes to the Service or Terms
We may update the Service and these Terms from time to time. If changes are material, we’ll provide notice (e.g., email or in‑app). Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel before the next renewal.
Service changes & maintenance. We may modify, add, or remove features. Planned maintenance is scheduled during low‑traffic windows where feasible, and we aim to minimize disruption.
16) Export & sanctions
You will comply with all applicable export control and sanctions laws and will not use the Service in any restricted jurisdiction or for any prohibited purpose.
17) Governing law; disputes
These Terms are governed by the laws of the State of Delaware (excluding conflicts rules). The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, USA, for any dispute not subject to arbitration. Either party may seek injunctive relief in any court of competent jurisdiction.
18) Miscellaneous
These Terms are the entire agreement between you and TrueLinks regarding the Service. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
